| Board of Directors | The Board of Directors serves as the highest governing body of the Company. It is responsible for guiding corporate strategies, overseeing management, and being accountable to the Company and its shareholders. In all operations and arrangements under the corporate governance system, the Board of Directors exercises its authority in accordance with laws, the Articles of Incorporation, or resolutions of the shareholders' meeting. |
| Audit Committee |
The Audit Committee assists the Board of Directors in fulfilling its supervisory duties and performs duties mandated by the Company Act, Securities and Exchange Act, and other relevant laws and regulations. It determines risk management policies and monitors implementation results. |
| Remuneration Committee | The Remuneration Committee is responsible for prescribing and periodically reviewing the performance evaluation and remuneration policy, system, standards, and structure for directors and managers. |
| Audit Office | 1.It develops and implements the Company's annual audit plan and public disclosure procedures in accordance with laws and regulations. 2.It plans and executes special audit projects, and tracks follow-up improvement results. 3.It assists departments in conducting regular self-inspections of internal control systems, as well as coordinates and refines operational procedures across departments. |
| R&D | The R&D Center coordinates the design, development, improvement, validation, testing, yield analysis, and optimization of the Group's products. |
| Finance and Administration |
The Finance and Administration Center coordinates the Group's capital, investments, accounting, taxation, administration, human resources, information, and legal affairs. It is responsible for managing and supervising financial, capital, investment and shareholder service operations, ensuring the timeliness and accuracy of accounts and various statements, as well as analyzing, mitigating and reducing tax risks. It also handles human resources planning, system establishment, human resources business execution, and general affairs management. |
| Business Development | The Business Development Center coordinates the Group’s sales operations, develops sales plans and pricing policies, as well as oversees business development, order taking, and customer retention to achieve annual sales targets of the Group. |
| Operations Management | The Operations Management Center coordinates group procurement, and establishes strategies for raw material procurement, supply chain management, cost management, and quality management, including wafer fab process evaluations and processing supplier qualification reviews. |
